Welcome to Footy Brain. Please read these Terms of Service ("Terms") carefully before using our website and services. By accessing or using Footy Brain, you agree to be bound by these Terms.

1. Service Description

Footy Brain is a soccer prediction service that provides data-driven predictions and statistical analysis. Our service includes:

• Probability predictions generated by machine learning models
• Historical model performance data and accuracy metrics
• Value opportunity identification (where model probability differs from implied market odds)
• Analytics tools for reviewing model predictions

2. We Are NOT a Sportsbook

Footy Brain is an analytics and information service. We are not a sportsbook, bookmaker, or betting operator.

We do not:

• Accept, process, or facilitate any wagers or bets
• Handle, hold, or transfer any money or funds
• Offer gambling or betting accounts
• Pay out winnings or collect losses
• Partner with or operate on behalf of any sportsbook or betting operator

We sell access to information and predictions. What you do with that information is entirely your decision.

3. Information Product Disclaimer

Our service provides probability assessments and statistical analysis for informational and entertainment purposes only.

We make no guarantees regarding the accuracy of our predictions. Probability assessments represent our model's calculated likelihood based on historical data and are not certainties.

4. No Guaranteed Outcomes

We do not guarantee any outcomes, wins, profits, or returns.

Our predictions are probability assessments, not promises. A prediction showing 70% probability does not mean the outcome will occur. It means our model calculates a 70% likelihood based on available data.

Historical model performance is shown in abstract units, not currency. Past performance, regardless of how strong, does not guarantee future results. Sports outcomes are inherently unpredictable.

5. User Responsibility

By using our service, you acknowledge and agree that:

• You are solely responsible for any decisions you make using our predictions or analysis
• You will verify all odds and information with your sportsbook before taking any action
• You understand that gambling involves risk and you may lose money
• You will comply with all applicable laws in your jurisdiction regarding online gambling
• You are of legal gambling age in your jurisdiction (typically 18 or 21 years old)
• You will gamble responsibly and within your means

6. Eligibility Requirements

Age Requirement

You must be at least 18 years old, or the legal gambling age in your jurisdiction (whichever is higher), to use Footy Brain.

By creating an account, you represent and warrant that you meet the minimum age requirement. If we discover or have reason to believe that you do not meet this requirement, we reserve the right to immediately suspend or terminate your account without notice or liability.

Geographic Availability

Footy Brain is available to users in the United States, European Union, European Economic Area, and United Kingdom. Our primary markets are the United States and United Kingdom.

By using our service, you represent that you are located in one of these regions or, if accessing from elsewhere, that you do so at your own risk and are solely responsible for compliance with applicable local laws.

For users in our primary markets, we comply with applicable data protection laws including GDPR (EU/EEA), UK GDPR (United Kingdom), and CCPA/CPRA (California). See our Privacy Policy for details.

Users from other regions may access our service, but we make no representation that the service is appropriate, lawful, or available for use in any location outside our primary markets.

Sanctions and Export Controls

You may not use Footy Brain if you are located in, or a resident or national of, any country subject to U.S. trade sanctions or embargoes, or if you are on any U.S. government list of prohibited or restricted parties. This includes, but is not limited to, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions.

7. No Financial or Betting Advice

Footy Brain does not provide financial advice, investment advice, or personalized betting recommendations.

We are not registered investment advisors, financial planners, or licensed professionals. No fiduciary relationship exists betweenFooty Brain and our users.

Our predictions represent model outputs, not recommendations. When our model shows a probability, it is a statistical calculation, not advice to bet.

8. Third-Party Data and Accuracy

Our predictions rely on data from third-party providers. We do not guarantee the accuracy, completeness, or timeliness of this data.

• Odds: Displayed odds are aggregated from various sources and may not reflect current market prices. Always verify odds with your sportsbook before taking any action.
• Statistics: Match statistics, team data, and player information are provided "as is" from upstream sources and may contain errors.
• Fixtures: Match schedules and results are sourced from third parties and may be delayed or inaccurate.
• Data delays: Information may not be real-time due to upstream provider limitations.

Footy Brain is not responsible for errors in third-party data, data delays or outages, or discrepancies between displayed information and actual sportsbook data.

9. Assumption of Risk

YOUR ACCESS TO AND USE OF FOOTY BRAIN IS AT YOUR OWN RISK.

You acknowledge that sports outcomes are inherently unpredictable and that no prediction model, regardless of its historical accuracy, can guarantee future results. You voluntarily assume all risks associated with:

• Using our predictions, analysis, or any information provided through the service to inform your own decisions
• Any financial decisions you make based on information obtained from the service
• Reliance on third-party data, odds, or statistics displayed on the service
• Service interruptions, delays, or errors in the information provided

10. Disclaimer of Warranties

Without limiting the foregoing, Footy Brain does not warrant that:

• The service will be uninterrupted, timely, secure, or error-free
• Predictions or analysis will be accurate or reliable
• The quality of any information obtained through the service will meet your expectations
• Any errors in the service will be corrected

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by law, Footy Brain and its operators, employees, and affiliates shall not be liable for:

• Any losses, damages, or expenses arising from your use of our predictions or analysis
• Any betting or gambling losses, regardless of whether you used our service
• Any decisions you make based on information provided through our service
• Errors, inaccuracies, or omissions in our predictions or third-party data
• Service interruptions, data loss, or technical failures
• Any indirect, incidental, special, consequential, or punitive damages

Our total liability for any claim arising from your use of the service shall not exceed the amount you paid for the service in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Footy Brain, its operators, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt and expenses (including reasonable attorney's fees) arising from:

• Your violation of any term of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Your redistribution, resale, or unauthorized sharing of our proprietary predictions or data
• Your misrepresentation of your eligibility to use the service (including age or geographic location)

This indemnification obligation does not apply to claims arising primarily from our gross negligence or willful misconduct. Your indemnification obligation is limited to direct damages and shall not exceed the greater of (a) the amount you paid for the service in the 12 months preceding the claim, or (b) $500.

This defense and indemnification obligation will survive termination of these Terms and your use of the service.

13. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of Footy Brain — including the determination of the scope or applicability of this agreement to arbitrate — shall be determined by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall be held in Atlanta, Georgia, United States.

Arbitration Costs: Each party shall bear its own costs and attorney's fees. Footy Brain will pay the arbitration filing fees and arbitrator costs for claims totaling less than $10,000, unless the arbitrator determines the claims are frivolous. For claims exceeding $10,000, fees will be allocated per JAMS rules.

Class Action Waiver

YOU AND FOOTY BRAIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

Jury Trial Waiver

YOU AND FOOTY BRAIN WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.

30-Day Opt-Out Right

You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@footybrain.app within 30 days of first accepting these Terms. Your notice must include your name, address, email address, and an unequivocal statement that you want to opt out of this arbitration clause. If you opt out, the Governing Law provision below will apply.

Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

• US users: If the arbitration agreement is found unenforceable, any litigation shall be filed exclusively in the state or federal courts located in Fulton County, Georgia.
• EU/UK users: Notwithstanding the above, you may bring claims in the courts of your country of residence in accordance with mandatory consumer protection laws. The arbitration clause does not override your mandatory rights under EU or UK consumer law.
• Other international users: Georgia law applies, and disputes shall be resolved in Fulton County, Georgia courts.

14. Subscription and Payments

Access to Footy Brain may require a paid subscription. By subscribing, you agree to the following terms:

Billing

• All fees are charged in US Dollars (USD)
• Subscriptions are billed at the start of each billing period (monthly or annual, as selected)
• You authorize us to charge your payment method on file for all applicable fees
• If a payment fails, we will attempt to charge your payment method again and provide a 7-day grace period before suspending access

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription rate upon renewal. To avoid being charged for the next billing period, you must cancel at least 24 hours before your renewal date.

Cancellation

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period — you will retain access until then
• No partial refunds are provided for unused time

Refunds

• Annual subscriptions: You may request a full refund within 14 days of your initial purchase if you are unsatisfied. Contact support@footybrain.app with your request.
• Monthly subscriptions: No refunds are provided for monthly subscriptions.
• Renewals: No refunds are provided for renewal charges. Cancel before your renewal date to avoid charges.

Price Changes

We may change subscription pricing at any time. For existing subscribers, price changes will take effect at your next renewal date. We will provide at least 30 days' notice of any price increase via email. If you do not agree to the new pricing, you may cancel before your renewal date.

15. EU/UK Consumer Rights

This section applies to users in the European Union, European Economic Area, and United Kingdom.

Right of Withdrawal (Cooling-Off Period)

Under EU and UK consumer law, you have the right to cancel your subscription within 14 days of purchase for a full refund, without giving any reason.

Waiver for Immediate Access: When you subscribe and request immediate access to our service, you acknowledge that you are waiving your right of withdrawal for the current billing period. This is standard practice for digital services where you receive immediate access.

To exercise your right of withdrawal (where applicable), contact us at support@footybrain.app with a clear statement of your decision to cancel.

Consumer Protection Rights

Nothing in these Terms limits or excludes any mandatory consumer protection rights under EU or UK law that cannot be waived by contract. Where mandatory consumer laws apply, they take precedence over conflicting provisions in these Terms.

Dispute Resolution for EU/UK Users

EU and UK users may bring claims in the courts of their country of residence in accordance with mandatory consumer protection laws. The arbitration clause in Section 13 does not prevent you from exercising these rights. For EU users, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Acceptable Use

You agree not to:

• Share, resell, or redistribute our predictions or proprietary data
• Use automated systems to scrape, copy, or extract our content
• Attempt to reverse-engineer our prediction models or algorithms
• Use our service for any illegal purpose or in violation of local laws
• Create multiple accounts to circumvent subscription limits
• Misrepresent your identity or affiliation

Violation of these terms may result in immediate termination of your account without refund.

17. Intellectual Property

All content, predictions, analysis, and materials on Footy Brain are our proprietary intellectual property or licensed to us. This includes our prediction models, algorithms, user interface, and branding.

You may not copy, modify, distribute, or create derivative works from our content without explicit written permission.

18. Privacy

Your use of Footy Brain is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

19. Modifications to Terms

We may update these Terms from time to time. We will notify you of changes as follows:

• Material changes (changes affecting your rights, pricing, or dispute resolution): We will provide at least 14 days' notice via email before the changes take effect.
• Non-material changes (clarifications, typo fixes, formatting): Changes take effect immediately upon posting.

If you do not agree to material changes, you may cancel your subscription before they take effect. Your continued use of Footy Brain after the effective date of any changes constitutes your acceptance of the modified Terms.

20. Termination

Termination by You

You may cancel your subscription and close your account at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

Termination by Us

We may suspend or terminate your access to Footy Brain:

• Immediately, without notice, for violation of these Terms, fraudulent activity, or conduct that harms other users or our service
• With 30 days' notice, if we discontinue the service or for other legitimate business reasons

Effect of Termination

• Upon termination, your right to use the service ceases immediately
• If we terminate your account for cause (violation of Terms), no refund will be provided
• If we terminate your account without cause or discontinue the service, you will receive a pro-rata refund for any prepaid subscription fees
• We may delete your account data 30 days after termination, except as required to comply with legal obligations

Survival

The following provisions survive termination: Disclaimer of Warranties (§10), Limitation of Liability (§11), Indemnification (§12), Dispute Resolution (§13), Intellectual Property (§17), and any other provisions that by their nature should survive.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on Footy Brain, constitute the entire agreement between you and Footy Brain regarding your use of our service. This agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.

23. Force Majeure

Footy Brain shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, acts of God, pandemic or epidemic, war or acts of terrorism, civil unrest, government actions or regulations, internet or infrastructure outages, power failures, third-party service provider failures, or any other circumstances beyond our reasonable control. During such events, our obligations under these Terms shall be suspended until the event is resolved.

24. Data Retention and Account Deletion

You may delete your account at any time through your account settings or by contacting support@footybrain.app. Upon account deletion:

• Your account will be deactivated immediately
• Personal data will be deleted within 30 days, except as required to comply with legal obligations, resolve disputes, or enforce our agreements
• Payment records may be retained as required by tax and accounting laws
• Aggregated, anonymized data that cannot identify you may be retained for analytics purposes

25. Assignment

You may not assign, transfer, or sublicense these Terms or any of your rights or obligations hereunder without our prior written consent.

We may assign these Terms, in whole or in part, at any time without notice, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. In the event of such assignment, the assignee will be bound by these Terms.
